Mike oversees merger, acquisition, valuation, and corporate finance projects. He is responsible for corporate development and project management.
Active in advising both buyers and sellers of privately held businesses since 1986, he has represented companies in many diverse industries. Mike has a particular expertise in representing companies where a large publicly traded company is the buyer.
Mike has prepared financial opinions addressing the value of common and preferred stock, various debt securities, the fairness of certain transactions, and value of a wide variety of intellectual property including software, trademarks, patents, and relationship assets. He has prepared opinions for a variety of purposes including corporate dissolutions, estate and gift tax matters, employee stock ownership plans, acquisitions and divestitures, and purchase price allocation.
Mike began his professional career at Arthur Young & Company, (Ernst & Young) in the audit practice. He has held a number of senior financial and operational management positions in both public and private enterprises. His experience encompasses a wide variety of industries including manufacturing, logistics, casino gaming and hotel operations, oil and gas, MCO resources, FNC (ASE:MCR), retail, construction, and consumer products.
Mike received his undergraduate degree from California Polytechnic State University San Luis Obispo, and became a certified public accountant (CPA) in 1981. He is accredited in business valuation by the AICPA (ABV). Mr. Ellington is a Certified Director (CD) by UCLA/The Anderson School of Management. He holds Series 7, 63, 24, 27, and 79 Securities Licenses.
He is a member of the American Institute of Certified Public Accountants. He is also an active member of the Association for Corporate Growth, and The Los Angeles Venture Association.

Chris brings to SEG and its clients over 15 years of financial advisory and investment banking experience. He has extensive expertise in structuring and negotiating transactions across a wide variety of industries, and has prepared financial opinions addressing the value of common and preferred stock, various debt securities, intangible assets of all types, the fairness of certain transactions, and the value of a wide variety of non-traditional types of assets.
Prior to joining SEG, Chris was the director of financial opinions for Pacific Corporate Group, a private equity advisory firm, and spent over five years with Marshall and Stevens, Inc., a national valuation firm. He has also held positions as a commercial loan analyst for a major southern California S & L, and various positions in the insurance, advertising, and retail industries.
He is past president of the Los Angeles Chapter of the Young Entrepreneurs Organization, and has been a part-time lecturer at California State University, Long Beach in the Finance Department. He has spoken before various groups of attorneys, accountants, and business owners.
Chris earned a Bachelor of Science degree in Finance from California State University, Northridge, and his MBA with a Finance concentration from the University of Southern California. He holds the Chartered Financial Analyst (CFA) designation, and is an Accredited Senior Member of the American Society of Appraisers (ASA).

 | Roxanne Cooley VP of Client Development

As Vice President of Client Development with SEG, Roxanne is responsible for fostering development and growth of new business, and maintaining key relationships with existing clients and referral sources. She works closely with the managing directors in executing the firm's vision and implementing the firm's strategic plan. Roxanne leads the marketing initiatives for SEG, and is actively involved in maintaining collaborative networking efforts.
Prior to joining SEG, Roxanne spent a number of years working for a prominent Orange County venture capital fund, while coincidingly managing the Orange County Venture Capital Association. She held key business development and/or operational positions with a successful commercial real estate development company, a local construction services firm, and a medical technology company. She brings a strong background in strategic planning, marketing, project management, and business/client development to the firm.
Roxanne holds a Bachelor of Arts degree and is actively involved in Toastmasters as VP of Education.

As a Manager with SEG , Tim performs in-depth industry, economic, and financial research, prepares detailed valuation reports, and performs financial modeling for a range of projects. Further, Tim is responsible for regular client contact and relationships during the course of projects, as well as subsequent third party review. Tim works closely with our Directors, Managing Directors, and Analysts in merger and acquisitions, the valuation of business enterprises, SFAS compliance, corporate options, and ESOPs. Tim has been actively involved in transactions of companies from within the restaurant, consumer goods, retail, pharmaceutical, biotechnology, and electronic industries.
Prior to joining SEG, Tim gained private equity industry experience as an intern at Harvey & Company, LLC in Newport Beach. He assisted analysts with research and data analysis necessary to facilitate transactions for the company’s private equity clients.
Tim earned a Bachelor of Science degree in Business Administration with an emphasis in Corporate Finance from the University of Southern California’s Marshall School of Business. Tim is a level III CFA candidate. |

As a Senior Analyst with SEG , Michael creates models for financial reporting and performs valuations for both closely-held and public companies. Michael is responsible for financial analysis, in-depth economic and industry research, audit review, and client management and advisory. Michael works closely with our Managing Directors, Managers, and Analysts in numerous industries for merger and acquisition consulting, employee stock ownership plans, fairness opinions, purchase price allocations, goodwill and long-lived asset impairment tests, as well as common and preferred stock valuations.
Before Michael joined SEG he earned his Bachelor of Science degree in Business Administration with a concentration in Corporate Finance from California State Polytechnic University, Pomona. Prior to graduating college, Michael served as a Sergeant in the United States Army and is a veteran of Operation Enduring Freedom in Afghanistan. |

Kristin is an Analyst with SEG. Kristin performs in-depth industry, economic, and financial research, prepares detailed valuation reports, and performs financial modeling for a range of projects. Kristin works closely with our Directors and Managers in mergers and acquisitions, the valuation of business enterprises and derivatives, SFAS compliance, corporate options, and ESOPs.
Before joining SEG, Kristin oversaw operations and client services for a boutique financial planning firm in Los Angeles that specialized in tax planning and investment strategies for small business owners. Prior to beginning her career in the financial services industry, she worked in museum administration, first at LACMA and then at the Getty Museum.
Kristin earned an MBA from the UCLA Anderson School of Management and a Bachelor of Arts degree from the University of California, Berkeley. She holds Series 7 and 66 licenses. |

As an Analyst with SEG, Brad performs valuation analysis and other financial advisory services. Brad creates complex models for financial reporting and performs valuations for both closely-held and public companies. Brad is responsible for financial analysis, in-depth economic and industry research, and client management and advisory. Brad has been actively involved in multiple M&A transactions across a broad range of industries. In addition, Brad works closely with our Managing Directors, Managers, and fellow Analysts in the valuation of employee stock ownership plans, fairness opinions, SFAS compliance, as well as common and preferred stock valuations.
Prior to joining SEG, Brad was an Analyst with a valuation firm in Philadelphia, Pennsylvania where his responsibilities included financial analysis and advisory services related to financial opinions, private equity portfolio valuations, collateralized debt obligation funds, and the valuation of business enterprises. Brad earned his Bachelor of Arts degree in Economics from The University of Pittsburgh. He also holds the Series 79 and 63 securities licenses. |

University’s Marriott School of Business. Jake also completed a double major in
Philosophy.
